Cosmic Ephemeris Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and the independent operator of Cosmic Ephemeris ("Cosmic Ephemeris," "we," "us," or "our"). They govern your use of the Cosmic Ephemeris website, dashboard, accounts, API keys, software development kits, documentation, calculation endpoints, saved data, scheduled searches, webhooks, and related services (collectively, the "Service"). By creating an account, selecting "I agree," purchasing a subscription, or using the Service, you accept these Terms. If you use the Service for an organization, you represent that you have authority to bind it, and "you" includes that organization.
Commercial status
Cosmic Ephemeris offers a no-charge Free plan and paid monthly subscriptions. Current prices, included quotas, and feature access appear on the Pricing page. Stripe hosts paid checkout and subscription management. These Terms include important disclaimers, a limitation of liability, and an indemnity.
1. Eligibility
You must be at least 18 years old and able to form a binding contract where you live. The Service is designed for developers and businesses and is not directed to children. You may not use the Service if applicable law prohibits you from doing so or if we previously suspended you for a material violation and have not authorized renewed access.
2. Accounts and credentials
You must provide accurate information and keep it current. Keep passwords, sessions, signing secrets, and API keys confidential. API keys are server-side credentials; do not publish them, embed them in public browser or mobile code, share them outside your organization, or use another person's credentials. You are responsible for activity through credentials you control. Revoke exposed credentials and notify support@cosmicephemeris.com promptly. We may require reasonable verification before changing account ownership or disclosing account information.
3. License to use the Service and outputs
Subject to these Terms and your plan, Cosmic Ephemeris grants you a limited, revocable, non-exclusive, non-transferable right to access the Service and use documented API outputs in your own applications and internal workflows. You may display or transform outputs for your end users, including in commercial applications, provided you comply with law, preserve required source or license attribution, do not imply Cosmic Ephemeris endorsement, and do not resell raw Cosmic Ephemeris access or substantially replicate the Service as a competing hosted API. This license does not transfer ownership of the Service, source code, branding, documentation, datasets, or third-party materials. Published Cosmic Ephemeris SDK packages are separately licensed under the ISC license included with those packages.
4. Your content and instructions
You retain your rights in information you submit ("Customer Content"). You grant Cosmic Ephemeris and its service providers a limited, worldwide, royalty-free license to host, process, transmit, reproduce, and temporarily store Customer Content only as reasonably necessary to operate, secure, support, and comply with law concerning the Service. You represent that you have all rights, notices, consents, and lawful bases needed for Customer Content and our processing of it under your instructions.
Birth dates, times, locations, names, relationship data, and webhook destinations may concern another person. You are responsible for providing your own end-user privacy notice, minimizing data, honoring applicable rights, and obtaining any permission or other lawful basis required. Do not submit payment-card data, government identifiers, health records, information about children, or other regulated or highly sensitive data unless a separate written agreement expressly permits it.
5. Acceptable use
You may not, and may not help anyone else to:
- use the Service for unlawful, fraudulent, deceptive, infringing, harassing, discriminatory, or harmful activity;
- bypass quotas, rate limits, authentication, entitlement, or security controls, or test for vulnerabilities without written authorization;
- interfere with the Service, introduce malware, automate abusive traffic, or place unreasonable load on shared infrastructure;
- scrape or systematically extract the Service, documentation, or datasets to build a substitute or competing hosted calculation service;
- rent, sublicense, sell, or expose raw API credentials or raw Service access to an unrelated party;
- misrepresent output, accuracy, source, beta status, availability, or affiliation with Cosmic Ephemeris;
- use the Service as the sole or determinative basis for medical, legal, financial, insurance, lending, employment, housing, education, immigration, emergency, safety-critical, or other high-impact decisions; or
- submit content you lack authority to process or violate another person's privacy, publicity, contractual, or intellectual-property rights.
6. Calculations and responsible use
Cosmic Ephemeris returns documented astronomical positions, geometric relationships, civil-time and place-resolution information, chart graphics, and separately labeled rule-based astrological fields. Astrology has not been scientifically validated as a predictive method. Outputs are informational and computational only; they are not predictions, professional advice, emergency information, or a guarantee of any outcome. You are responsible for reviewing inputs, methods, warnings, approximations, supported date ranges, and outputs before relying on or publishing them. Do not use an output as the sole basis for a high-impact or safety-critical decision.
Methods, conventions, source versions, known approximations, and beta boundaries are described in the Methodology and endpoint documentation. Place candidates can be ambiguous. Historical timezone results can identify gaps or folds and do not guess a unique civil time where none exists. Sampled event windows do not prove continuous satisfaction between samples.
7. Saved data, jobs, schedules, and webhooks
Synchronous calculation bodies are processed without intentional application-database persistence. If you opt into a saved chart, saved event search, schedule, or batch job, you direct Cosmic Ephemeris to store the corresponding data as described in the Privacy Policy. Scheduled saved searches automatically submit event-calendar jobs at the cadence and UTC time you select, using your selected API key and quota. Jobs remain subject to limits, can fail or be delayed, and are not a guaranteed notification service.
If you configure a webhook, you direct Cosmic Ephemeris to send signed terminal job-status metadata to that HTTPS destination. You are responsible for controlling the destination, protecting its signing secret, verifying signatures and timestamps, and lawfully handling delivery metadata. Cosmic Ephemeris does not guarantee delivery and may stop retries after the documented bounded retry period.
8. Plans, quotas, and usage accounting
Current limits appear on the Pricing page. Included units reset at the UTC calendar-month boundary and requests stop when the applicable limit is reached; automatic usage-overage billing is not enabled. Some endpoints require a separate entitlement or quota. A request or scheduled-job item can consume quota after admission even if the calculation later fails. Submitting, importing, or polling a job does not itself consume a unit; each admitted job item uses the same standard unit as the corresponding synchronous call. Customer-selected API-key budgets are guardrails within, not additions to, the plan allowance. We may apply reasonable rate, concurrency, payload, abuse, and infrastructure limits.
9. Paid subscriptions, renewal, cancellation, and refunds
Paid plans are charged monthly in advance through Stripe and automatically renew for successive one-month periods until canceled. The price, billing interval, and any applicable tax are shown before purchase. By submitting a paid order, you authorize Stripe to charge the payment method on file at purchase and each renewal until cancellation. There is no free trial unless checkout expressly says otherwise, and automatic usage overages are not enabled.
Cancel before the next renewal through the hosted billing portal. If the portal is unavailable, request cancellation by emailing support@cosmicephemeris.com from the account email and include the account email and plan, but never payment-card details or credentials. Ordinary cancellation takes effect at the end of the paid billing period and access continues through that period. Plan changes may create immediate prorated charges or credits as shown by Stripe. Payments are non-refundable except where required by law or expressly stated at purchase. Deleting an account is different. Successful account deletion cancels the linked subscription immediately and removes access rather than waiting for period end. You are responsible for taxes not collected by Stripe.
10. Third-party services and materials
The Service relies on third-party infrastructure, payment, email, abuse-prevention, software, ephemeris, timezone, and place-data materials. Their outages or changes can affect the Service. Third-party names and trademarks belong to their owners and do not imply endorsement. Some responses and documentation include required source, version, copyright, or license notices; you must preserve those notices when your redistribution requires it. Open-source and dataset notices identify applicable third-party terms. Your direct use of Stripe, webhook destinations, or other third-party services is also governed by your agreement with them.
11. Beta features and changes
A feature labeled beta may be incomplete, inaccurate, changed, or withdrawn without a compatibility period. We may change limits, endpoints, documentation, methods, dependencies, or the Service for security, reliability, legal, capacity, or product reasons. Where reasonably practicable, we will announce a material adverse change to existing paid use before it takes effect. No backward-compatibility period, feature permanence, or continued availability is promised unless stated in a separate signed agreement.
12. Ownership and feedback
Cosmic Ephemeris and its licensors retain all rights in the Service, website, documentation, software, branding, designs, and service-generated materials except the limited rights expressly granted above. If you voluntarily provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.
13. Suspension and termination
We may limit or suspend access when reasonably necessary to protect users or infrastructure, investigate suspected abuse, prevent legal or security risk, address nonpayment, enforce these Terms, or comply with law. When practicable, we will give notice and an opportunity to cure, but immediate action may be necessary. You may stop using the Service, cancel a subscription, or request account deletion. Upon termination, your right to use the Service ends. Provisions that by their nature should survive do survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and general terms.
14. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." COSMICEPHEMERIS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. COSMICEPHEMERIS DOES NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE COMPLETE, CURRENT, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR PURPOSE, OR THAT DATA WILL NOT BE LOST.
Nothing in these Terms excludes a warranty, right, or remedy that applicable law does not allow the parties to exclude.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSMICEPHEMERIS AND ITS OPERATOR, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE. THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNT YOU PAID COSMICEPHEMERIS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply regardless of the theory of liability and to the extent permitted in your jurisdiction. They do not limit liability that cannot lawfully be limited, including any liability for fraud or willful misconduct where applicable law prohibits limitation. Each limitation is an essential basis of the bargain.
16. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Cosmic Ephemeris and its operator, affiliates, contractors, licensors, and service providers from third-party claims, damages, judgments, losses, liabilities, penalties, costs, and reasonable legal fees arising from: (a) your Customer Content, applications, products, or end-user relationships; (b) your use or misuse of the Service or outputs; (c) your violation of these Terms or law; or (d) your infringement or violation of another person's rights. We will give reasonable notice of a covered claim and reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by, imposes obligations on, or fails to fully release an indemnified party without that party's written consent. We may control the defense with counsel of our choice. This section does not require indemnity to the extent prohibited by applicable law.
17. Governing law and disputes
Georgia law governs these Terms, without regard to conflict-of-law rules, except where applicable law requires otherwise. Before filing a claim, each party should send a written description of the dispute and requested relief to the other and allow 30 days for a good-faith informal resolution, unless urgent injunctive relief is reasonably necessary. Subject to any non-waivable consumer right, a dispute must be brought in a state or federal court with jurisdiction in Georgia, and each party consents to that court's personal jurisdiction. These Terms do not require arbitration and do not waive a right that cannot lawfully be waived.
18. Export and sanctions
You may not use, export, re-export, or provide the Service in violation of applicable export-control, sanctions, or trade laws. You represent that you are not prohibited from receiving the Service under those laws.
19. General terms
Neither party is liable for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, sale, or transfer of the Service. These Terms, the Privacy Policy, the Pricing page for your selected plan, and any signed order or addendum form the entire agreement about the Service. A signed order or addendum controls over these Terms only where it expressly says so. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains effective. Headings are for convenience. These Terms create no partnership, agency, employment, fiduciary duty, or third-party beneficiary.
20. Changes to these Terms
The version above identifies these Terms. We may update them prospectively. Material changes will be posted here and, when reasonably practicable, communicated through the account email or dashboard. We will request affirmative acceptance when required by law or when we determine a change requires renewed consent. Otherwise, continued use after the stated effective date constitutes acceptance where permitted by law. If you do not agree, stop using the Service and cancel before the change takes effect.
